Terms of Service

These terms govern your use of the NexusPay website and service. They are written to be read, not to be survived. Where something works against you, it is stated in the same plain language as everything else.

Effective Jan 2026. By connecting a wallet to NexusPay or using a card issued through it, you agree to these terms. If you do not agree to them, do not connect a wallet.

1. Who we are

NexusPay is operated by NexusPay, a company registered with its offices at Nairobi. In these terms, "we", "us" and "NexusPay" mean that company, and "you" means the person using the service.

2. What NexusPay is, and what it is not

NexusPay is a technology provider. We build software that lets you spend USDT held in your own TRON wallet through a virtual Visa card.

We are not a bank. Specifically:

  • We do not take deposits, and we hold no balance for you.
  • We do not issue the card. It is issued by our partners, and your use of the card is also governed by the Cardholder Agreement.
  • Your funds are not covered by any deposit guarantee or insurance scheme. If they are lost, no scheme reimburses them.

Nothing on this site or in this document is financial, tax or legal advice. We do not advise you on whether to hold stablecoins.

3. Who may use it

You may use NexusPay only if all of the following are true:

  • You are at least 18 years old.
  • You are using the card for yourself, not on behalf of somebody else.
  • You are not subject to sanctions administered by any authority that applies to us, and you are not acting for anyone who is.

We may refuse or withdraw access if we reasonably believe any of these has stopped being true.

4. Your wallet, and the approval you sign

NexusPay never holds your private keys and cannot move funds you have not authorised. What it does need is a TRC20 spending allowance: a transaction you sign, once, that permits our treasury address to transfer USDT out of your wallet up to a limit you set.

This is the most important paragraph in this document, so it is stated directly:

  • The allowance is a standing permission, not a single payment. Until you revoke it, transfers up to the approved amount can be made without a further signature from you. That is what makes a card purchase possible at the till.
  • You choose the size of that allowance. An unlimited approval is convenient and is the larger risk. An allowance close to what you intend to spend bounds your exposure to what you can afford to lose.
  • You can revoke it at any time, from your wallet or from this site, without our involvement or permission. Revoking it stops the card from being able to spend, immediately.

We pay the TRON network energy cost of the approval transaction by renting energy and delegating it to your wallet, so you do not need to hold TRX. That energy is rented for this purpose and is not a credit to your account.

5. What we charge

4.5% of each purchase, and nothing else. There is no fee to issue the card, no monthly or annual fee, no inactivity fee, no top-up fee, and no exchange-rate markup applied by us on top of the rate we are given.

The commission is taken from the USDT transferred for that purchase, so a purchase costing 100 USDT draws 101.50 USDT from your wallet. It is shown to you before the card is used and appears on each transaction record.

If we ever introduce a further charge, it takes effect only after we have told you under section 13, and never on purchases you have already made.

Costs that are not ours remain yours: network fees for transactions you send yourself, and any charge a merchant or an ATM operator imposes at the point of sale.

Until that check is complete, spending above the threshold will decline. We may also run a check below the threshold where we are required to, or where a pattern of use suggests the limit is being split across wallets to avoid it. What happens to the documents you provide is described in the Privacy Policy.

7. Acceptable use

You agree not to use NexusPay:

  • for anything unlawful, or to launder money or finance terrorism;
  • to evade sanctions, or to transact with a sanctioned person or place;
  • at merchant categories the card programme prohibits, which the Cardholder Agreement lists;
  • to attack, overload or reverse-engineer the service, or to access another person's wallet or card;
  • to impersonate anyone, or to give us information you know to be false.

8. Availability

We try to keep the service running and do not promise that it always will be. It depends on the TRON network,on Visa, and on infrastructure none of us controls. Congestion on TRON can delay a settlement; an outage at the issuer can decline a purchase.

We may change, suspend or withdraw features. Where a change materially reduces what the service does for you, we will tell you before it takes effect unless we are required to act immediately.

9. Risks you are accepting

These are real and are not disclaimers for their own sake.

  • You can lose everything in the wallet. If you lose your keys or seed phrase, no one — including us — can restore access. There is no password reset for a wallet.
  • A standing allowance is a standing risk. If our systems or treasury keys were compromised, an attacker could transfer up to the amount you approved. This is the honest cost of not signing every purchase, and it is why we recommend bounding the allowance.
  • USDT is not a dollar. It is a token that has generally traded at about a dollar. It can lose that peg, and its issuer can freeze balances at particular addresses, including yours, without our involvement.
  • The chain can fail you. Congestion, forks or a change in TRON's fee model can delay or prevent a transaction.
  • Rules can change. Regulation of stablecoin card programmes is moving, and a change could restrict or end the service in your country.

10. Our responsibility, and its limits

We are responsible for the service being provided with reasonable care and skill, and nothing in these terms excludes liability that cannot lawfully be excluded — including for fraud, or for death or personal injury caused by our negligence.

Beyond that, and to the extent the law allows, we are not liable for:

  • losses caused by a failure of the TRON network, of USDT, of a wallet you chose, or of a third party we do not control;
  • transactions authorised by a signature made with your keys, where those keys were not compromised through our fault;
  • a fall in the value of what you hold;
  • lost profits, lost opportunity, or losses that were not reasonably foreseeable.

Where we are liable, our total liability is limited to Fraud or willful misconduct.

11. Ending it

You can stop at any time by revoking the spending allowance and no longer using the card. You do not need our agreement and there is nothing to close.

We may suspend or end your access where we reasonably believe you have broken these terms, where we are legally required to, or where continuing would expose us or our partners to a legal or fraud risk we cannot manage. We will tell you when we do, and why, unless the law prevents us. Ending access does not touch the USDT in your wallet, which was always yours.

12. Governing law and disputes

This Privacy Policy is intended to comply with applicable laws of the Republic of Kenya, including the Kenya Data Protection Act, 2019, and may also incorporate internationally recognized privacy principles where applicable.

Please raise a complaint with us first, using the contact below. Most things are quicker to fix than to argue about.

13. Changes to these terms

We may update these terms. When a change materially affects your rights or what you pay, we will give you at least 7 notice by before it takes effect, and you may stop using the service rather than accept it. The effective date at the top always reflects the current version.
